Terms of Service
Please read these terms carefully before using ADK Cyber's services or software.
These Terms of Service ("Terms") govern your access to and use of the services, software, and website (collectively, the "Services") provided by ADK Cyber, LLC, a New York limited liability company ("ADK Cyber," "we," "our," or "us"). By accessing or using the Services (including ADK Cyber AI and any paid subscription plans) you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Services Provided
ADK Cyber provides cybersecurity advisory and engineering services, documentation, and AI-assisted software tools including ADK Cyber AI (collectively, "Services"). The Services are intended for information and productivity purposes only and are provided subject to these Terms.
2. Eligibility & Account Registration
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services. By registering an account you represent that the information you provide is accurate and that you will keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. No Professional Advice
THE SERVICES, INCLUDING ADK CYBER AI, ARE PROVIDED FOR INFORMATIONAL AND PRODUCTIVITY PURPOSES ONLY. OUTPUT GENERATED BY ADK CYBER AI DOES NOT CONSTITUTE PROFESSIONAL CYBERSECURITY, LEGAL, REGULATORY, COMPLIANCE, OR ENGINEERING ADVICE.
All AI-generated content (including configuration snippets, security recommendations, diagnostic analysis, and policy guidance) must be independently reviewed and verified by a qualified professional before being applied to any production or live environment. ADK Cyber expressly disclaims any liability for damages arising from reliance on AI-generated output without independent verification.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in a manner consistent with all applicable laws and regulations. You must not:
- Use the Services to access, probe, or attack any computer system, network, or device without explicit authorization from the owner of that system;
- Share, sell, or transfer your account credentials or subscription access to any third party;
- Attempt to circumvent, reverse-engineer, or abuse query quotas, rate limits, licensing controls, or any technical measure protecting the Services;
- Use the Services to generate output intended to facilitate unauthorized access to computer systems or networks;
- Submit to the Services any data or content that violates applicable export control laws, sanctions programs, or trade regulations, including but not limited to regulations administered by the U.S. Office of Foreign Assets Control (OFAC) and the Export Administration Regulations (EAR);
- Use the Services in any manner that could damage, disable, or impair ADK Cyber's infrastructure or interfere with other users' access;
- Represent AI-generated output as your own original professional analysis without disclosure.
Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.
5. Payment & Subscription Terms
Paid subscription plans (Local, Pro, and MAX) are billed monthly through our third-party payment processor. By subscribing you authorize recurring charges to your payment method at the stated subscription price. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as expressly stated herein.
You may cancel your subscription at any time through the billing portal provided by our payment processor. Cancellation takes effect at the end of the current billing period; your account will revert to the free tier immediately upon cancellation with no further charges.
ADK Cyber reserves the right to change subscription prices with at least 30 days' written notice to the email address associated with your account. Your continued use of the paid Services after such notice constitutes acceptance of the new pricing.
6. Disclaimer of Warranties
ADK Cyber does not warrant that AI-generated configuration snippets, security recommendations, or diagnostic analyses are accurate, complete, or appropriate for your specific environment. You assume all risk associated with the use and application of AI-generated output.
7. Limitation of Liability
ADK Cyber's total cumulative liability to you for any and all claims arising out of or related to these Terms or the Services shall not exceed the greater of: (a) the total fees you paid to ADK Cyber during the twelve (12) months immediately preceding the claim giving rise to liability; or (b) one hundred U.S. dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, ADK Cyber's liability is limited to the maximum extent permitted by law.
8. Data & Privacy
When you use ADK Cyber AI, the app runs on your local machine. Credentials (passwords, shared secrets, pre-shared keys, API keys, private keys) are automatically redacted on your device before anything is sent. On cloud plans (Free, Pro, MAX), your redacted chat messages and configuration excerpts are relayed through ADK Cyber's inference gateway on Cloudflare (in transit only — not stored) to Anthropic's API for AI inference. On the Local plan, nothing you submit leaves your computer. ADK Cyber's account servers receive only your email address, session token, and subscription status — never your configuration content.
By using the Services you acknowledge that data transmitted to Anthropic is subject to Anthropic's privacy policy. ADK Cyber is not responsible for Anthropic's data handling practices.
If you subscribe to the Local tier and configure ADK Cyber AI to use your own local language model, your chat messages and configuration data are sent only to the local model endpoint you specify and are not transmitted to Anthropic or to ADK Cyber. In this mode you are solely responsible for the security, privacy, and data-handling practices of your chosen local model and its environment.
9. Intellectual Property
The Services, including all software, content, trademarks, and trade dress, are owned by ADK Cyber or its licensors. These Terms do not grant you any ownership interest in the Services. You may not copy, modify, distribute, sell, or create derivative works from the Services or any portion thereof without ADK Cyber's prior written consent.
You retain ownership of any data or configuration files you submit to the Services. By submitting content you grant ADK Cyber a limited license to process that content solely as necessary to provide the Services to you.
Local-tier subscribers are provided access to ADK Cyber's proprietary system prompt for the sole purpose of operating ADK Cyber AI with their own local language model. The system prompt remains the exclusive intellectual property of ADK Cyber. You may not extract, copy, publish, post, redistribute, sublicense, or make any commercial or derivative use of the system prompt outside of the ADK Cyber AI application. Any such use constitutes a material breach of these Terms and may result in immediate termination of your account without refund.
10. Governing Law
These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. To the extent court proceedings are permitted under Section 11, you consent to the exclusive jurisdiction of the state and federal courts located in Montgomery County, New York.
11. Binding Arbitration & Class Action Waiver
11.1 Mandatory Arbitration
Except for disputes that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
11.2 Seat & Procedure
The seat of arbitration shall be Montgomery County, New York. For claims under $25,000, the arbitration may be conducted entirely by videoconference or telephone, with no in-person hearing required, unless the arbitrator determines that an in-person hearing is necessary to resolve a genuine issue of material fact.
11.3 Class Action Waiver
YOU AND ADK CYBER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
11.4 Exceptions
Either party may seek emergency or preliminary injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this section prevents you from reporting violations to governmental authorities or agencies.
12. Modifications to These Terms
ADK Cyber may update these Terms from time to time. We will provide notice of material changes by updating the "Last updated" date above and, where practicable, by emailing the address associated with your account. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Services.
13. Termination
ADK Cyber may suspend or terminate your access to the Services at any time and for any reason, including violation of these Terms. Upon termination, all provisions of these Terms that by their nature should survive termination (including Sections 3, 6, 7, 10, 11, and 13) shall survive.
14. Miscellaneous
Entire Agreement. These Terms, together with any applicable order confirmation or subscription agreement, constitute the entire agreement between you and ADK Cyber regarding the Services and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced with one that most closely approximates the intent of the original.
Waiver. ADK Cyber's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without ADK Cyber's prior written consent. ADK Cyber may assign these Terms without restriction.
